Welcome to ParentCal. These Terms of Service ("Terms") govern your access to and use of the ParentCal website, applications, and services (collectively, the "Service") operated by ParentCal ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Important: These Terms contain a binding arbitration clause and class action waiver in Section 14. Please read them carefully.

1. Description of Service

ParentCal is a family organization tool that helps parents manage their children's activities and events. The Service:

  • Connects to your Gmail account (with your permission) to scan for emails containing event information
  • Uses artificial intelligence to identify and extract event details from your emails
  • Organizes and displays events in a centralized calendar
  • Provides features to manage, filter, and share event information
  • Offers calendar integration and notification features

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have a valid Google account
  • Have the legal authority to enter into these Terms
  • Not be prohibited from using the Service under applicable law

The Service is intended for use by parents and guardians to manage family activities. The Service is not intended for direct use by children under 13 years of age.

3. Account Registration and Security

To access the Service, you must authenticate using your Google account. By doing so, you:

  • Authorize us to access your Google account information (name and email)
  • Grant us read-only access to your Gmail messages for the purpose of identifying events
  • Agree to maintain the security of your Google account credentials
  • Accept responsibility for all activities that occur under your account

4. Gmail Access and Data Use

By using the Service, you expressly consent to:

  • Our scanning of your Gmail inbox to identify emails that may contain event information
  • Our use of artificial intelligence services to analyze email content
  • The extraction and display of event information from your emails

Limitations of Gmail Access:

  • We only have read-only access to your emails
  • We cannot send, delete, or modify your emails
  • We do not permanently store the full content of your emails
  • You can revoke our access at any time through your Google Account settings

Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others, including privacy and intellectual property rights
  • Upload or transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use automated means to access the Service without our express permission
  • Collect or harvest user data without authorization

6. Intellectual Property Rights

The Service, including its original content, features, and functionality, is owned by ParentCal and is protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any information you provide to the Service (such as children's names and preferences). By using the Service, you grant us a limited, non-exclusive license to use this information solely for the purpose of providing and improving the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • All events in your emails will be detected or extracted accurately
  • The AI analysis will be 100% accurate
  • The Service will meet your specific requirements

You understand and agree that the Service relies on AI technology that may occasionally produce inaccurate results. You should verify important event details independently.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARENTCAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless ParentCal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable laws.

10. Termination

By You: You may terminate your account at any time by discontinuing use of the Service and revoking our access to your Google account.

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@getparentcal.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. General Provisions

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ParentCal regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
